Terms of Service

These Terms govern use of HayloFriend's public pages, account tools, payment and payout features, embeds, exports, and related services.

1. Acceptance of these Terms

These Terms of Service ("Terms") govern your access to and use of HayloFriend.com and any related websites, applications, public thank-you pages, creator tools, embedded widgets, payment and payout features, communications, and services we make available (collectively, the "Service"). The Service is operated by Golden Hour Group, LLC ("Golden Hour," "Haylo," "we," "us," or "our").

By accessing or using the Service, creating an account, making a payment, connecting a payout account, publishing a public page, or using any embedded or linked Haylo experience, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility, accounts, and electronic notices

You may use the Service only if you are at least 18 years old or the age of majority where you live, are legally able to enter into a binding contract, and are not barred from using the Service under applicable law.

If you use the Service on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

Some features require an account. You must provide accurate information, keep your account credentials and devices secure, and promptly notify us if you believe your account has been compromised. You are responsible for activity that occurs through your account.

We may require you to use the specific sign-in, verification, or recovery flows we make available from time to time. If you choose to sign in or connect through a third-party provider, your use of that provider is also subject to its separate terms and policies.

You agree that we may send you transactional, operational, security, support, and legal notices electronically, including by email, through the Service, or by posting them on the Service.

3. What Haylo provides

Haylo is a software platform for gratitude, public creator pages, gifting, and related creator tools. Depending on the feature, the Service may let users create public profiles and thank-you links, publish creator information, send or receive gratitude-related payments, connect payout details, claim gifts, export activity records, submit feedback, or share Haylo pages through links or embeds.

Haylo is not a bank, does not issue stored-value accounts, and does not independently custody funds. Payment processing, funds settlement, connected account onboarding, and payout rails are provided by Stripe and financial institutions in their respective roles.

Haylo may maintain internal records, dashboards, exports, or status views for operational purposes. Those records may be delayed, incomplete, or corrected later and are not bank statements, legal books and records, or guarantees that money is available, settled, or payable.

Nothing in these Terms creates any fiduciary, trustee, agency, partnership, joint venture, employment, or similar relationship between you and Haylo.

4. Payments, fees, payouts, reversals, and taxes

If you use payment or payout features, you authorize Haylo and its payment providers to process transactions and related instructions needed to operate the Service. Payments and payouts are subject to the terms, requirements, and operating rules of Stripe, card networks, banks, and other financial institutions involved in the transaction.

For payout and connected-account features, Haylo uses Stripe Connect Express. In that role, Haylo acts as your platform provider and not as Stripe. These Terms, together with any feature-specific disclosures we provide in the Service, form your platform provider agreement with Haylo for those Stripe Connect Express features.

You authorize Haylo to help create, connect, configure, and support your Stripe Connect Express account, and to submit or manage limited activity on your behalf within Stripe as needed to provide the Service. You also instruct Stripe to share with Haylo, and authorize Haylo to share with Stripe, account, onboarding, transaction, payout, support, risk, and related data needed to provide Haylo's platform services and Stripe's services.

You must provide accurate and complete information to Haylo and Stripe, and you are responsible for keeping that information current. If you provide personal data about representatives, employees, contractors, agents, customers, recipients, or other individuals, you are responsible for providing required notices and obtaining any rights and consents needed for Haylo and Stripe to lawfully process that data in connection with the Service.

Unless we state otherwise in the Service or in separate written terms, Haylo's standard platform fee is currently 3.5% of applicable transactions. Certain disclosed programs or traffic paths may use a different fee. For example, eligible Haylo Guide acquisition traffic can currently carry a 4.5% platform fee so the additional 1% can fund Guide program credits when the conversion qualifies. Instant withdrawal, when offered and actually used, currently carries an additional 1.5% Haylo fee. Stripe, banks, and other third parties may charge separate fees. All fees may be changed prospectively as described in these Terms or in-product disclosures.

Stripe payment processing fees also apply. Those fees are set by Stripe under the Stripe agreements applicable to your account and may vary by payment method, card type, transaction size, customer location, dispute status, payout method, or other transaction factors. Stripe's fees may be disclosed separately, bundled with platform-service fees, or deducted from your Stripe account balance or transaction proceeds as permitted by Stripe's agreements and your settings.

To receive payouts, you may need to complete identity verification, provide tax information, connect a supported bank account, satisfy Stripe onboarding requirements, and remain in good standing under these Terms and any applicable provider requirements.

Haylo's ordinary payout cadence is weekly Friday payout processing after Stripe setup and eligibility. Instant payout may be available only to eligible Stripe-approved users and may carry the separate fee described above.

Depending on how Stripe Connect Express is configured for your account, you may or may not have direct access to the Stripe Dashboard or to certain Stripe services or settings. If direct access is unavailable or limited, you must contact Haylo for platform-related support.

All payments are final and non-refundable unless required by law or unless Haylo expressly agrees otherwise in writing. Even after a payment is accepted, we may delay, refuse, hold, cancel, adjust, or reverse a transaction or payout, or restrict access to funds or features, if required by law, court order, network rules, Stripe, risk review, sanctions screening, suspected fraud, error correction, chargeback, dispute, suspected abuse, or violation of these Terms.

Payout timing, eligibility, holds, reserves, failures, and bank arrival times depend on Stripe, financial institutions, verification status, and applicable law. We do not guarantee that any amount will become available for payout or reach your bank account on any particular schedule.

If you publish offerings, receive payments, or otherwise interact with customers or supporters through the Service, you are solely responsible for accurately describing what you offer, delivering any goods or services, handling support, refunds, or complaints when required, and complying with laws that apply to your activities and customer relationships.

You are solely responsible for determining, collecting, reporting, and paying any taxes, duties, levies, or similar charges arising from your use of the Service or amounts you receive through it.

Paid Haylo Pro, recurring support, or other subscription features may renew automatically until canceled. Subscription prices, trial periods, entitlements, renewal dates, cancellation rules, and billing-provider terms are shown in the Service or by Stripe at checkout or in the billing portal.

Recommendation and affiliate features may generate commissions or revenue share for Haylo or creators when qualifying purchases are reported by the retailer or network. Affiliate commissions are not guaranteed, are not paid per click unless expressly stated, and may be reconciled after the retailer or network provides reporting.

5. Haylo Guide program credits

The Haylo Guide program is a founder-reviewed program for approved members who help net-new members discover Haylo. Applying, being approved, or sharing a Guide link does not guarantee that you will earn any credit or payout.

Guide credits are program credits, not wages, employment compensation, lifetime commissions, affiliate commissions, or ownership interests. The first verified net-new conversion opens the Guide window but earns $0. After that, eligible verified net-new conversions during the active window may earn a 1% Guide credit, subject to program rules, caps, holds, risk review, disputes, refunds, duplicate or existing-member checks, and Stripe payout eligibility.

Guide credits are generally subject to a 30-day hold, Friday payout processing, a $25 payout minimum, and Stripe Connect requirements. Haylo may approve, reject, pause, expire, extend, revoke, or adjust Guide status, windows, credits, or payouts to protect the Service, correct errors, enforce these Terms, comply with provider rules, or prevent abuse.

A supporter who uses a Guide path but does not complete a verified net-new member conversion may still be charged the disclosed Guide-path fee, but no Guide credit is owed unless the conversion qualifies under the program rules.

6. Your content, public pages, embeds, and feedback

The Service may let you submit, publish, upload, send, or otherwise make available names, profile information, links, creator items, notes, messages, images, feedback, support requests, and other content or materials (collectively, "User Content"). You retain whatever rights you have in your User Content, subject to the rights you grant below.

You grant Haylo a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to host, store, reproduce, process, adapt, format, transmit, display, perform, distribute, and otherwise use your User Content as needed to operate, secure, improve, support, promote, and provide the Service and related communications. This includes making technical changes needed to display content across devices, channels, emails, widgets, and embedded experiences.

If you create or enable public pages, creator links, or embeddable Haylo experiences, you understand that they may be visible to anyone with access to the link or embed, may be shared by others, and may be cached, copied, indexed, crawled by search or AI systems, screenshotted, or retained by third parties outside our control.

If we provide embed tools or code, you may use them only as we provide them and only to promote or display Haylo experiences in a lawful, non-misleading way. We may require updates, limit functionality, or revoke permission to use embeds at any time.

If you send us feedback, ideas, suggestions, or product requests, you agree that we may use them without restriction, notice, attribution, or compensation to you.

  • You represent and warrant that you own or control all rights needed to submit your User Content and to grant the rights in these Terms.
  • Your User Content must be accurate where accuracy matters, lawful, and must not violate privacy, publicity, intellectual property, consumer protection, anti-spam, financial, or other legal rights or obligations.
  • We may remove, refuse, limit, or disable any User Content or public experience at any time, with or without notice.

7. Acceptable use restrictions

You may not use the Service, or allow others to use the Service through you, in any way that is unlawful, harmful, deceptive, abusive, or interferes with Haylo, other users, or third parties.

  • Use the Service for fraud, money laundering, unauthorized fundraising, sanctions evasion, or any illegal or regulated activity without required approvals.
  • Impersonate any person or entity, misrepresent your identity, affiliation, authority, or relationship to a creator, supporter, recipient, partner, or Haylo.
  • Use another person's payment method, bank account, identity, personal information, or account without authorization.
  • Harass, threaten, defame, stalk, exploit, spam, or otherwise abuse any person or group.
  • Upload, publish, or transmit unlawful, infringing, hateful, obscene, discriminatory, violent, or malicious content.
  • Copy, scrape, harvest, data-mine, monitor, benchmark, or extract data from the Service, including public pages, except through features or written permissions we expressly provide.
  • Use the Service, its outputs, or its data to build, train, benchmark, or improve any competing product, model, or dataset without our prior written consent.
  • Reverse engineer, decompile, probe, bypass, disable, or interfere with the Service or its security, fraud, rate-limit, verification, or abuse-prevention controls.
  • Use bots, scripts, automation, or other non-human activity to access or use the Service except through interfaces or automations we expressly authorize.
  • Introduce malware, harmful code, attacks, or attempts to overload, disrupt, or degrade the Service.
  • Use public pages, links, embeds, marks, or communications from the Service in a misleading, hidden, framed, or white-labeled way that implies endorsement, source confusion, or ownership you do not have.

8. Data, privacy, and service records

You authorize Haylo and its service providers to collect, use, store, disclose, and otherwise process information necessary to operate, authenticate, secure, support, improve, and provide the Service, including account, transaction, payout, device, communication, fraud-prevention, and support-related data.

The Service may use cookies, similar technologies, and server-side logging needed for authentication, security, fraud prevention, payments, public page behavior, and other core Service functions. We may also use optional analytics or preference technologies when and as we make those controls available and lawful.

Separate privacy notices, cookie disclosures, or product-specific disclosures may apply to parts of the Service. Nothing in these Terms limits any privacy rights you may have under applicable law.

9. Third-party services and linked experiences

The Service depends on third-party services, such as payment processors, connected account providers, authentication providers, email providers, hosting infrastructure, analytics tools, and other vendors. Those third parties may have their own terms, privacy notices, and operational requirements.

We are not responsible for third-party services, websites, content, products, or policies, and we do not guarantee their availability, accuracy, security, or performance. Your dealings with third parties are between you and the third party except to the extent applicable law says otherwise.

10. Haylo intellectual property

The Service, including its software, code, design, text, compilations, workflows, visual elements, documentation, branding, and all related intellectual property rights, is owned by Golden Hour, its licensors, or other rights holders and is protected by law.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Service for its intended purpose. This right does not include any right to resell, sublicense, copy, modify, distribute, create derivative works from, or exploit the Service except as these Terms or applicable law expressly allow.

All trademarks, service marks, logos, and brand elements used in the Service are owned by their respective owners. You may not use them without prior written permission, except for permitted use of Haylo-provided embed code or link-sharing tools that remain subject to these Terms.

11. Suspension, restriction, and termination

We may investigate, suspend, restrict, remove, refuse, or terminate any account, content, payout access, payment feature, public page, embed, identifier, email address, IP address, or other Service access at any time if we believe doing so is necessary to protect users, Haylo, payment providers, the public, or the integrity of the Service.

Without limiting the previous sentence, we may take those actions for suspected fraud, abuse, chargebacks, payment disputes, security concerns, violation of these Terms, infringement claims, sanctions concerns, legal or provider requirements, inactivity, or operational risk.

You may stop using the Service at any time. Termination or suspension does not relieve you of obligations incurred before the termination or suspension took effect.

12. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available." Haylo disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, and any warranties arising out of course of dealing or usage of trade.

Without limiting the previous sentence, we do not warrant that the Service will be uninterrupted, error-free, secure, available at any particular time or place, compatible with every device or provider, or free of loss, delay, corruption, fraud, interception, or harmful components.

We do not warrant that any public page, message, notification, claim link, email, payment, payout, balance display, export, support response, or third-party integration will be delivered, honored, available, accurate, or completed without delay, correction, or failure.

Haylo does not provide legal, tax, accounting, financial, banking, or investment advice. Any operational or financial information shown through the Service is for general informational purposes only.

13. Limitation of liability

To the maximum extent permitted by law, Golden Hour, Haylo, and their respective affiliates, managers, officers, employees, contractors, agents, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, savings, goodwill, data, reputation, opportunities, or other intangible losses, arising out of or relating to the Service or these Terms, even if advised of the possibility of those damages.

To the maximum extent permitted by law, the total aggregate liability of Golden Hour, Haylo, and the other parties listed above for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid directly to Haylo in the 12 months before the event giving rise to the claim, or (b) $100.

These limitations apply regardless of the form of action, whether in contract, tort, strict liability, statute, or otherwise, and even if any limited remedy fails of its essential purpose.

14. Indemnity

You will defend, indemnify, and hold harmless Golden Hour, Haylo, and their respective affiliates, managers, officers, employees, contractors, agents, licensors, and service providers from and against any claims, demands, actions, proceedings, investigations, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your User Content, your use of the Service, your violation of these Terms, your violation of law, your infringement or violation of any rights of another person or entity, or your disputes with other users, creators, supporters, recipients, payment providers, or third parties.

15. Governing law, venue, jury waiver, and class action waiver

Except to the extent applicable law requires otherwise, these Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Service are governed by the laws of the state in which Golden Hour Group, LLC is organized, without regard to conflict-of-law rules.

Except where a claim may be properly brought in small claims court, any dispute, claim, or controversy arising out of or relating to these Terms or the Service must be brought exclusively in the state or federal courts located in that state, and each party irrevocably consents to personal jurisdiction and venue in those courts.

To the fullest extent permitted by law, each party waives any right to a jury trial and any right to participate in any class, collective, consolidated, coordinated, or representative action or proceeding.

16. Changes to the Service or these Terms

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.

We may update these Terms from time to time. Updated Terms become effective when posted unless we state a different effective date. By continuing to use the Service after updated Terms become effective, you agree to the updated Terms.

17. Miscellaneous

These Terms are the entire agreement between you and Golden Hour regarding the Service, except for any additional terms that expressly apply to a particular feature, program, or written agreement.

If any provision of these Terms is held unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms is not a waiver of that provision or any other right.

You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms, in whole or in part, at any time.

Sections that by their nature should survive termination or suspension will survive, including sections addressing payments, fees, taxes, public content, intellectual property, disclaimers, limitation of liability, indemnity, dispute resolution, and miscellaneous terms.
